Position Summary:
APAC Senior Legal Counsel works closely with colleagues in the Legal & Compliance Department and with various business and functional units on a broad range of legal commercial matters and consistent with applicable laws, regulations, and ASP policies. APAC Senior Legal Counsel will focus on matters relating to APAC region comprised of India, China, Japan, Korea, Taiwan, Vietnam, Philippines, Indonesia, Thailand, Malaisia, Singapore, Australia and New Zealand, at the direction of ASP Associate General  Counsel, International. He/She exercises independent judgment and management skills, and exhibits excellent interpersonal and communication skills.
Your Impact
You will report into ASP AGC, International who in turn reports into ASP, VP GC.  The international Legal and Compliance team has primary responsibility for all legal matters outside of the Americas, including commercial, data privacy, antitrust, anticorruption, compliance, litigation & claims, regulatory, M&A, employment, IP, and overall legal risk management.
Here’s where you will demonstrate your competencies:
•Independently drafting, editing, and negotiating contracts including contracts for Sales and Services, and HCP Events, Consultancy, direct and indirect procurement, bids and tenders support, and Non-Disclosure Agreements.
•Providing effective, business- focused, consistent and timely legal services for the divisions, including advisory and contractual support for channels partners and assisting in product liability.
•Advising the business on laws, regulations and ASP policies.
•Assisting with the development of training for business partners to advance business needs and compliance initiatives.
•Providing training and education for stakeholders to ensure proper functioning and transparency of contractual and other processes.
•Assisting with process improvement projects.
•Supporting development and improvement of templates.
•Providing accurate information and research to the ASP AGC International and  other members of the Legal & Compliance Department regarding laws and regulations.
•Liaising with other members of the APAC and EMEA Legal and Compliance Team across.
•Supporting pan-APAC Legal projects and activities as required.
•Reporting on activities, risks and opportunities, as appropriate.
•Keeping abreast of developments in the legal & compliance environment across APAC countries.
•LEADERSHIP & PEOPLE: Critical part of a small and collaborative team; working directly with APAC ASP countries business leaders and liaising closely with other ASP legal, compliance and trade compliance professionals and other employees; learning and leading with Fortive Business Systems (“FBS”), a system of processes and learning methods aimed at continuous improvement; serving as role model on integrity and ethical behaviour.
•COMMERCIAL & CORPORATE:  advising on all aspects of commercial relationships in APAC countries, including reviewing, drafting and negotiation of contracts and complex commercial arrangements; actively participating in the team’s efforts to improve governance and corporate records management of ASP legal entities in APAC countries.
•GROWTH: providing legal support on M&A and other international strategic activities, including acquisition due diligence and post-closing integration in APAC countries.
•LITIGATION & CLAIMS:  Managing litigation, claims, and other significant international legal matters in APAC countries; tracking and reporting on the status of such matters to the AGC international and ASP VP General Counsel.
•INNOVATION: serving as a key contributor as part of the team’s strategy to experiment and find innovative ways to provide more efficient and effective legal services in APAC countries; actively embracing a culture of continuously looking to improve our processes and service.
•OUTSIDE COUNSEL & BUDGET:  instructing and managing outside counsel in APAC countries under the close supervision of ASP AGC International.
•TRAINING & EDUCATION: Providing training and updates to APAC leadership, commercial teams, and other targeted associates in areas such as legal escalation, data privacy, compliance, contract review and management, litigation best practices, employment and competition law.
•OTHER:  Working on other projects taken on by the team as assigned by ASP AGC International.  The work is varied and unpredictable and requires a willing and positive mindset.
Education & Special Trainings:
Admission to practice law in India required with strong educational credentials.
Admission to another Bar, such as a Australian, or UK solicitor status would be a plus.
Qualifications & Experience:
•This position is for applicants with a minimum of 6 to 8 years’ professional legal experience acquired both in an international law firm combined with 2 to 4 years in  the medical device industry.
•Must be able to speak and write fluently in English and India. Chinese or Japanese as plus.
•Self-motivated with the ability to work independently as well as part of a team.

•High proficiency in computer systems and programs such as the Microsoft Office suite and ability to learn ASP-specific systems.
•for at least 2 to 3 years is a must.
•Experience working with APAC countries is a plus.
Physical & Mental Requirements:
•Must be able to communicate with diverse groups of employees and external vendors.
•Must be able to communicate telephonically and via video when needed.
•Must be able to review large numbers of printed materials and spend time reviewing materials on a computer screen.
•Able to use common office equipment (personal computers, telephone, printer/copiers).
