Get to know the Role:
- Reporting to the Regional Legal Counsel, this position will provide advice, counsel and legal support on key legal issues related to a wide range of technology transactions and policy decisions across the Grab group
- Note: The role could be based in either Bangalore or Singapore
The day-to-day activities:
1. Technology Procurement
- Lead legal counsel on a wide range of technology procurement engagements, responsible for negotiating the legal terms and conditions to ensure that documentation reflects Grab’s business needs and protects our interests
- Covering the full scope of technology products and services including software, cloud, SaaS, hardware, managed services, terms of use, outsourcing and emerging technologies. May also be involved with ‘sell-side’ technology procurement negotiations (i.e. Grab as a seller)
- Work closely with internal stakeholders across Grab including Procurement Team, Cybersecurity, Tax, Privacy and DPO, to ensure all relevant input is incorporated into our procurement contracts
- Establish policies and processes to ensure efficient and effective interactions between legal and the rest of Grab’s technology procurement stakeholders
- Ownership of Grab’s technology procurement precedent library, including implementation of updates as and when required
2. Technology Transactions
- Drafting and negotiating technology related transaction documents, including in connection with group M&A activities
- Counselling the business and corporate finance teams on a range of technology, licensing, IP commercial, data and regulatory matters
3. Product Compliance
- Assist with ensuring the legal and regulatory compliance of Grab’s technology Products
- Assist our engineering, product, cybersecurity, DPO and privacy teams to ensure Grab’s Products are developed in accordance with relevant contractual rights and obligations (including, for example, open source licenses, terms and conditions of third-party tools, software and data, and other contractual obligations owed to third parties)
- Subject matter expert on discrete technology related questions on legal agreements outside your immediate scope of work
The must haves:
- A recognised Degree in Law with 8+ years working experience
- Experience in negotiating core technology procurement contracts (including MSAs, SaaS Agreements, Software License Agreements, Hardware Purchase Agreements, Professional Services Agreements), intellectual property and data aspects of corporate transaction contracts (including Collaboration Agreements, License Agreements and Sale & Purchase Agreements)
- Strong knowledge of copyright legislation and laws relating to software
- Able to guide business stakeholders in assessing and balancing the risks and benefits associated with the multiple and sometimes competing objectives related to Grab’s procurement of products, services and technology
- Takes ownership of tasks outside core reasonability areas and the ability to provide practical advice in an environment of ambiguity
- Ideally a mix of private practice and in-house experience, but open to those coming straight from private practice with a commercial mindset
- Understanding of key legal and privacy requirements impacting the collection, ownership and use of data (nice to have)
- Understanding of key legal requirements relating to compliance with cybersecurity laws and best practices for technology companies (nice to have)
- Understanding of key legal concepts regarding the monetisation of proprietary intellectual property (nice to have)
