Job Description:

Senior Legal Counsel (M&A)

About the role and what you’ll do:

  1. Provide necessary support for legal due diligence of potential investee companies
  2. Interaction with relevant internal stakeholders and liaising with external counsels and consultants for the completion of the transaction
  3. Assist in review of the NDAs, term sheets and other transaction documents such as Share Purchase Agreement, Share Subscription Agreement, Shareholders Agreement and Strategic Partnership Agreement
  4. Advice on corporate M&A transactions including acquisitions and disposals of businesses (whether by share sale or business sale), cross border mergers or amalgamations as well as joint ventures involving third parties with FDI
  5. Provide necessary support for the pre-closing, closing and post-closing actions
  6. Provide necessary support to Flipkart’s portfolio companies
  7. Provide legal advice on a broad range of general corporate matters including on competition laws, as needed
  8. Assist in corporate restructuring
  9. Manage external counsel

What you’ll need:

  1. LL.B. degree from a reputable institution.
  2. Company Secretary qualification is preferable but not a must
  3. 6-8 years of experience doing corporate transactions in a leading law firm, venture capital fund and/or major in-house legal environment
  4. Good understanding of all regulations pertaining to foreign direct investment (FDI), FEMA, NDI Rules etc.
  5. Ability to work collaboratively and effectively with business clients and other members of the legal department
  6. Significant experience managing work in relation to large complex and highly decentralized organizational clients with multiple stakeholders.
  7. Ability to work in a very fast-paced environment.
  8. High degree of professional ethics and integrity
  9. Detail oriented with exceptional analytical and organizational skills, including the ability to manage diverse assignments and projects, exercising sound judgment and decision-making in prioritization of multiple deadlines.
  10. Strong interpersonal skills and ability to effectively communicate with the company’s general counsel, and business partners to explain and advise about legal requirements and risks in specific contexts while considering the company’s operational objective clearly and succinctly.
