About the team
Flipkart’s M&A, practice group is responsible for all mergers & acquisitions, partnership structuring, being subject-matter experts on various aspects of regulations impacting our industry As a part of this practice group, the candidate will collaborate with business leaders, the broader legal function, corporate business functions and outside counsel to lead M&A transactions and provide managerial guidance on the other areas included within the practice group.
About the role:
We are looking for someone whose experience has been primarily focused on M&A deals, whether within a leading law firm, venture capital fund or large MNC. This individual needs to have a high degree of judgment and the ability to see the big picture. The ideal candidate will be a self-starter and be able to effectively interact with a fair but demanding client base.
What you’ll do:
Advice on corporate M&A transactions including acquisitions and disposals of businesses (whether by share sale or business sale), cross border mergers or amalgamations as well as joint ventures involving third parties with FDI.
Manage the transaction process; Negotiate term sheets, Strategic Partnership Agreements with the counterparty. Advice on structures that are FDI compliant.
Manage the legal and ABAC due diligence process and ensure risk mitigation is appropriately captured in the documents.
Draft and negotiate various transaction-related documents with the external counsels.
Assist and advice of pre-closing and post-closing actions.
Provide advice to cross-functional groups in connection with deal execution.
Provide legal advice on a broad range of general corporate matters, as needed.
Manage senior outside counsel.
Assist in corporate restructuring.
What you’ll need:
LL.B. degree from a reputable institution.
8-10 years of experience doing corporate transactions in a leading law firm and/or major in-house legal environment
Direct experience leading M&A transactions and good understanding of all regulations pertaining to foreign direct investment (FDI), FEMA, NDI Rules etc.
Ability to work collaboratively and effectively with business clients and other members of the legal department
Significant experience managing work in relation to large complex and highly decentralized organizational clients with multiple stakeholders. This role will work closely with the Senior Director, M&A so candidates must be able to work in a very fast-paced environment.
Detail oriented with exceptional analytical and organizational skills, including the ability to manage diverse assignments and projects, exercising sound judgment and decision-making in prioritization of multiple deadlines.
Strong interpersonal skills and ability to effectively communicate with the company’s general counsel, and business partners to clearly and succinctly explain and advise about legal requirements and risks in specific contexts while considering the company’s operational objective.
