Job Objective:
- Responsible for effective and efficient management of all matters related to Legal (Litigation & Non Litigation)
Brief Role description:
- Conducts detailed due diligence on land records (title, deeds, check if there are cases against it) as per the due diligence checklist before the meeting with the JV Partner
- Conducts due diligence of statutory compliances pertaining to real estate and all applicable laws
- Assists business development during negotiation with JV Partner and JVP’s advocates/ solicitors on commercials of the deal
- Advises on the legal structure of the deal such as – sharing process with JVP- revenue/area/ profits in consultation with legal consultants
- Legal Scrutiny and legal audit of documents related to land and for other legal compliances
- Discuss legal risk assessment with the management and suggest the measures need to be taken to mitigate the same.
- Coordinates with external legal firm for drafting of various legal documents like: Development Agreement, Term sheet, General Power of Attorney (GPA), Affidavits, Indemnity, Bank Guarantees, Share Purchase certificate, Service/Sales agreements etc.
- Gets inputs from the cross functional teams for preparing the customer agreements and ancillary documentation for new & existing projects
- Coordinates with and provides inputs to external legal consultants/lawyers to get a draft Apartment buyer agreement, possession time, schedule of payments, delay of possession etc
- Assesses specific requirements put forth by individual customers and finalizes the customer agreement in consultation
- Facilitates the entire process of Stamp Duty and registration of the legal documents
- Legal support in Society/Association formation and Executes all legal formalities for the formation of Society/Association
- Provides required documents to customers such as documents required during filing for housing loans/ addition of name of spouse/ transfer of property to another buyer
- Provide timely advise to other departments on concerns/queries having a legal impact
- Examine contracts made by Contracts team to provide legal controls and checkpoints
- Generate a knowledge repository for updates on laws, regulations, ordinances, by- laws relating to real estate industry and make the same available to the team.
- Should have proficient working knowledge of housing laws, property laws and MAHA-RERA. Conducting all RERA related due diligence and compliance work for existing and future projects.
